Content Rights Policy
Effective as of: July 3, 2025
This Content Rights Policy explains who owns the content used in Deskely and what rights are required to upload, store, process, and share that content inside the Deskely software and services (the "Service"). This policy is intended to satisfy "Content Rights Information" requirements for app distribution platforms.
1) What "Content" means in Deskely
"Content" includes all data and materials submitted to or generated in the Service, including (without limitation): master data (systems, subsystems, disciplines, locations, phases, scopes), tags/tag sets, templates, checksheets/ITRs, PWL records, CP records, walkdowns, punches, certificates, sign-offs, comments, audit trails, and any attachments (photos, files, documents).
2) Ownership of Content
- You (or your organization) retain ownership of your Content.
- Deskely does not claim ownership of your Content.
3) License you grant to Deskely to operate the Service
To provide the Service, you grant Deskely a limited license to: host, store, cache (including offline on authorized devices), reproduce, transmit, display, and otherwise process your Content solely as necessary to operate, maintain, secure, and improve the Service, including providing support and enabling synchronization between offline-first mobile apps and the web platform.
This license is:
- non-exclusive, worldwide, and royalty-free, and
- includes the right for Deskely to use service providers/subprocessors to perform these activities on Deskely's behalf, under appropriate confidentiality and data protection obligations.
Deskely may also create and use aggregated or de-identified data derived from Content (where permitted by law and contract) for analytics, security, and product improvement, provided it cannot reasonably identify you, any end user, or your organization.
4) Your responsibilities and assurances
You are responsible for the Content you upload or make available in Deskely. By uploading or submitting Content, you represent and warrant that:
- you have all rights, licenses, permissions, and (if required) consents to provide the Content to Deskely and to grant the license described above;
- your Content does not infringe or misappropriate any third-party rights (including copyright, trademark, trade secrets, privacy/publicity rights); and
- your Content complies with applicable laws, regulations, and your internal policies and contractual obligations.
5) Content visibility and sharing
Deskely is typically used in private, organization-controlled workspaces. Content is accessible only to users who are authenticated and authorized under your organization's access controls, roles, and permissions, except where you explicitly enable integrations or sharing features.
6) Prohibited content
You must not upload Content that is unlawful, infringing, deceptive, malicious, or designed to compromise systems (e.g., malware). You must not use Deskely to store or distribute content that violates applicable law or third-party rights.
7) Infringement claims and takedown requests
If you believe Content in Deskely infringes your intellectual property rights, you may submit a notice requesting review and removal.
Your notice should include:
- identification of the copyrighted/trademarked work claimed to be infringed,
- identification of the allegedly infringing Content (with enough detail to locate it),
- your contact information, and
- a statement that you have a good-faith belief the use is unauthorized, and that the information is accurate.
Deskely may:
- remove or restrict access to the reported Content,
- notify the relevant Customer/admin, and/or
- request additional information to verify the claim.
8) Deletion, export, and termination
Customers control their Content and may be able to export or delete Content through the Service (subject to permissions). Upon termination or deletion, Content may remain in backups for a limited period as part of normal disaster recovery practices, after which it is overwritten or deleted according to operational schedules, unless retention is required by law or agreed contract terms.
Because the mobile app is offline-first, Content may also be cached locally on authorized user devices until it is synchronized and/or removed through app controls, account removal, or device management.
